These Terms of Offers & Promotions ("Promotional Terms") govern all promotional campaigns, discounts, coupon codes, cashback offers, loyalty rewards, sale events, gifts, and other promotional activities conducted by VIP Industries Limited ("VIP", "Company", "we", "our", or "us") through www.vipbags.com ("Website").

These Promotional Terms should be read together with the Website Terms & Conditions, Privacy Policy, Cancellation Policy, Return & Refund Policy, Warranty Terms & Conditions, and any campaign-specific terms published on the Website.

By participating in any promotion, offer, discount program, or campaign, Customers agree to be bound by these Promotional Terms.

1. GENERAL PROMOTIONAL TERMS

Promotions offered on the Website may include, without limitation:

  • Discount offers;
  • Coupon codes;
  • Cashback offers;
  • Brand-specific promotions;
  • Sale events;
  • Loyalty rewards;
  • Free gifts;
  • Bundle offers;
  • Limited-time campaigns;
  • Festive promotions;
  • Launch offers;
  • Flash sales;
  • Deal-of-the-day promotions; and
  • Other marketing initiatives introduced from time to time.

All promotions are subject to availability and may be modified, suspended, withdrawn, or terminated at the sole discretion of VIP.

Participation in any promotion does not create any vested right in favour of a Customer.

2. ELIGIBILITY

Promotions are available only to eligible Customers who satisfy applicable promotional conditions.

VIP reserves the right to:

  • Verify Customer eligibility;
  • Request supporting information;
  • Refuse participation;
  • Cancel promotional benefits; or
  • Disqualify Customers who fail to meet eligibility requirements.

Certain promotions may be restricted based on:

  • Product category;
  • Brand;
  • Customer profile;
  • Geographic location;
  • Purchase value;
  • Payment method; or
  • Other campaign-specific criteria.

3. COUPON CODES

Coupon codes may be issued through the Website, marketing campaigns, affiliates, partners, influencers, or other authorized channels.

Unless otherwise specified:

  • Coupon codes must be applied during checkout;
  • Coupon codes cannot be applied after an Order is placed;
  • Coupon codes have no cash value;
  • Coupon codes are non-transferable; and
  • Coupon codes cannot be exchanged for cash or credit.

Coupon eligibility, validity periods, minimum purchase values, maximum discounts, and applicable exclusions shall be governed by the specific terms communicated for the relevant campaign.

4. COUPON STACKING

The Website may permit the use of multiple coupon codes or promotional benefits on a single Order where technically supported and expressly allowed by the applicable promotion.

However, VIP reserves the right to:

  • Restrict coupon combinations;
  • Limit cumulative discounts;
  • Exclude specific products or brands; and
  • Modify stacking rules without prior notice.

Where conflicting promotional conditions apply, VIP's determination shall be final.

5. BRAND-SPECIFIC PROMOTIONS

Promotional offers may be limited to specific brands, including but not limited to:

  • VIP
  • Skybags
  • Caprese
  • Aristocrat
  • Alfa

Promotions applicable to one brand may not be applicable to products from another brand unless expressly stated.

Products purchased across multiple brands within the same Order may be subject to different promotional conditions.

6. SALE EVENTS

The Website may conduct promotional sale events, including:

  • Seasonal sales;
  • Festive sales;
  • End-of-season sales;
  • Flash sales;
  • Clearance sales;
  • Anniversary sales;
  • Brand-specific sales; and
  • Other limited-duration events.

Products participating in such events may be available only while stocks last.

VIP does not guarantee availability of any Product throughout a promotional period.

Sale event pricing may change without prior notice based on inventory, campaign requirements, or operational considerations.

7. DEAL-OF-THE-DAY AND LIMITED-TIME OFFERS

Certain offers may be available only for specified durations.

Such offers:

  • May have limited inventory;
  • May be withdrawn early;
  • May expire automatically upon reaching redemption limits; and
  • Cannot be claimed after the promotional period ends.

VIP reserves the right to modify or discontinue such offers at any time.

8. CASHBACK OFFERS

Cashback offers may be conducted independently by VIP or in collaboration with payment providers, financial institutions, banks, card networks, wallets, UPI providers, or other partners.

Eligibility, processing timelines, and fulfillment of cashback offers may be governed by the terms prescribed by the relevant partner.

VIP shall not be responsible for:

  • Delayed cashback processing;
  • Cashback rejection;
  • Banking issues;
  • Partner-related disputes; or
  • Failure of third-party promotional programs.

Customers should review the applicable partner terms before participating.

9. FREE GIFTS AND PROMOTIONAL ITEMS

Certain promotions may include complimentary products, gifts, samples, accessories, or other promotional items.

VIP reserves the right to:

  • Substitute gifts with equivalent items;
  • Modify gift eligibility criteria; and
  • Withdraw gifts without prior notice.

Promotional gifts:

  • Are not exchangeable for cash;
  • Are not transferable; and
  • May not be eligible for separate warranty, return, or replacement unless required by law.

Where a qualifying Order is returned, any promotional gift received as part of that Order must also be returned if the return causes the Order to no longer satisfy promotional eligibility requirements.

10. LOYALTY REWARDS PROGRAMS

VIP may introduce loyalty programs, reward points, membership benefits, tier programs, or similar initiatives.

Unless otherwise specified:

  • Reward points have no cash value;
  • Points are non-transferable;
  • Points cannot be exchanged for cash; and
  • Points may be revoked in cases of misuse or fraud.

VIP reserves the right to:

  • Modify earning mechanisms;
  • Modify redemption rules;
  • Change eligibility criteria;
  • Introduce expiry periods; and
  • Suspend or discontinue loyalty programs.

Separate loyalty program terms may apply.

11. FUTURE PROMOTIONAL FEATURES

VIP may introduce additional promotional programs, including:

  • Gift cards;
  • Store credits;
  • Wallet balances;
  • Referral programs;
  • Membership programs;
  • Affiliate campaigns;
  • Personalized offers; and
  • Other promotional initiatives.

Such programs may be governed by separate terms and conditions introduced by VIP from time to time.

12. PRICING ERRORS

Despite reasonable efforts, errors relating to pricing, discounts, promotions, coupon application, or offer calculations may occasionally occur.

VIP reserves the right to:

  • Correct pricing errors;
  • Modify promotional calculations;
  • Cancel affected Orders;
  • Refuse shipment of affected Products; and
  • Refund payments where necessary.

Such actions may be taken even after an Order has been placed or payment has been received.

13. PROMOTIONAL MISUSE

VIP reserves the right to investigate and take appropriate action where it suspects:

  • Coupon abuse;
  • Promotion manipulation;
  • Multiple account creation;
  • Automated activity;
  • Bot usage;
  • Cashback abuse;
  • Loyalty program misuse; or
  • Any activity intended to improperly obtain promotional benefits.

Where such conduct is detected or suspected, VIP may:

  • Cancel Orders;
  • Revoke discounts;
  • Forfeit rewards;
  • Suspend accounts; or
  • Restrict participation in future promotions.

Further action may be taken in accordance with the Website Terms & Conditions.

14. MODIFICATION OR WITHDRAWAL OF PROMOTIONS

VIP reserves the right, at its sole discretion, to:

  • Modify promotional terms;
  • Extend promotional periods;
  • Reduce promotional periods;
  • Suspend promotions;
  • Withdraw promotions; or
  • Terminate promotions entirely,

without prior notice.

Such changes shall become effective immediately upon publication on the Website or communication through other authorized channels.

15. LIMITATION OF LIABILITY

Participation in promotions shall remain subject to the limitation of liability provisions contained in the Website Terms & Conditions.

16. GOVERNING TERMS

These Promotional Terms shall be governed by the dispute resolution, governing law, and jurisdiction provisions contained in the Website Terms & Conditions.
